ARTEAGA PALACIOS & ORTEGA arises in 2008 as a new firm in the Venezuelan legal market from the separation of its founding members from an important law firm in Venezuela, in which they practice law for an average of ten (10) years for corporate clients, at national and international level.

The firm is also a member of the Society of Corporate Compliance and Ethics (SCCE), which champions ethical practice and compliance standards and to provide the necessary resources for ethics and compliance professionals. The members of ARTEAGA PALACIOS & ORTEGA have extensive experience as legal counselors in tax, corporate and regulatory areas, as a result of constant work with multinational clients during more than 15 years on an individual basis.

a) TAXATION AND CORPORATE FINANCE ALBERTO J. ARTEAGA, PEDRO J. PALACIOS R. AND BEATRIZ RIVERO LEZA

The expertise of Arteaga Palacios & Ortega is centered on rendering tax and financial advisory services, intended to generate value by means of analyzing and designing financial and legal structures in order to optimize the available financial resources. The firm offers both tax consulting and tax litigation services. Our attorneys provide general tax consulting services, which include: tax analysis of investment structures and operations from a local and international standpoint; use of Double Taxation Treaties; assets' administration; tax planning for commercial and industrial projects and the analysis of the tax implications of the new rules and regulations that may have an impact in the investments. We tend to work closely with our clients and their external advisors to develop new investment structures that can profit from international tax regulations and/or reduce the negative effect of such in their business strategies. We also have extensive experience in handling tax litigation processes, including strict trial matters as well as the design of legal strategies to represent our clients before tax authorities.

b) EXCHANGE CONTROL ALBERTO J. ARTEAGA, PEDRO J. PALACIOS R. AND BEATRIZ RIVERO LEZA

During the last 25 years there they have been various exchange control regimes in Venezuela. Our attorneys have substantial expertise in this area and have helped clients to structure transactions in the most efficient way and reduce the impact of exchange restrictions, especially in the current regime managed through the Currency Administration Commission – CADIVI/CENCOEX. The members of our firm have extensive experience in the analysis of the impact of exchange rules, drafting of documents according to the requirements of CADIVI/CENCOEX in order to facilitate the approving process of CADIVI/CENCOEX as well as in the advising for the design of legal structures that serve to guarantee the operating capacity of the businesses under restrictive exchange conditions.

c) GENERAL ASPECTS OF CORPORATE & CONTRACTS LAW ALBERTO J. ARTEAGA, PEDRO J. PALACIOS AND BEATRIZ RIVERO LEZA

The members of Arteaga Palacios & Ortega have extensive experience representing national and foreign companies that supply goods and services to private entities, Government and Public Enterprises. We assist our clients in tender process, preparing offerings, negotiating contracts with public and private parties, and following-up f applicable regulations to such agreements. Also, we advise clients in private negotiations, with substantial experience in the structuring of commercial transactions that result in win-win situations for bothparties. In order to develop their project and due the nature of our clients, our advice is required by foreign and local companies for the review and negotiation of national as international agreements, technical assistance agreements, transfer of technology and software licenses.

D) LABOR LAW, HEALTH AND SAFETY LAW EDUARDO ORTEGA R., HENRIQUE CASTILLO G. AND ALEXANDRA CÓRDOVA VERA

This matter has acquired enormous importance in Venezuela given the profound governmental intervention in its application and overseeing, as well as the criminal implications that its breach involves. We are able to offer a comprehensive service regarding the Labor and Health and Safety Law, which includes all legal matters (litigation, negotiation, employee benefits), as well as technical aspects of the aforementioned areas. Venezuela's labor regulations and its practice, present an extremely complex and highly protective scenario. Our Labor Law group helps our clients throughout the entire spectrum of employment relations, acting as advisors in labor and union matters, as negotiators in all type of employment contracts, and finally as litigators in case of judicial claims. Our aim is to help our clients avoid conflicts with their employees and/or with unions and guild associations that may represent them. In any case, we protect our clients' interests vigorously and forcefully from any claims that may arise. Compliance regulations applicable to multinational companies are applicable to their affiliates operating in Latin American jurisdictions.  Implementation of a compliance program designed for the parent company may prove difficult for affiliates operating in Latin American countries due to cultural differences, among other factors.  The regulations of compliance programs may need to be adapted (“tropicalized”) for each country in the region, including a review of local legal standards, common practices and idiosyncrasies.
